Terms & Conditions

Last updated: 10 September 2026

These terms are between you and Horizon Health Solutions Pty Ltd (trading as GymBeans) ("we", "us", "our"), the provider of the GymBeans software. By creating an account, subscribing or continuing to use the service, you agree to these terms.

1. Who you are contracting with

The service is supplied by Horizon Health Solutions Pty Ltd. You must be at least 18 years old and, if you accept these terms on behalf of a business, you confirm you have authority to bind that business.

2. The service

GymBeans is subscription software for personal trainers and gyms: client management, bookings, training and nutrition programming, messaging, invoicing, payment agreements and financial reporting. We grant you a limited, non-exclusive, non-transferable right to use the service within the plan you have selected.

3. Your account

  • You must provide accurate information and keep it up to date.
  • You are responsible for keeping your credentials confidential and for all activity under your account.
  • Seats are for named individuals and must not be shared.

4. Acceptable use

You must not use the service to:

  • break any law or regulation, or infringe anyone's intellectual property or privacy rights;
  • send spam, run fraudulent schemes, or upload malicious code;
  • probe, scan, scrape or otherwise interfere with the security or integrity of the service;
  • reverse engineer, resell, redistribute or circumvent technical limits of the service.

5. Your data and your clients

You own the data you and your clients enter. You grant us a limited licence to host and process it solely to provide the service. You are responsible for having a lawful basis to upload your clients' personal information and for the accuracy of any payment agreements, contracts or health information you record.

6. Templates are not legal or professional advice

Contract, waiver, direct-debit and policy templates in the app are starting points only. They are not legal, financial, tax or medical advice. You must review them, adapt them to your circumstances and have them approved by a qualified professional before use.

7. Payments and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Billing, renewal, tax, cancellation and refund mechanics are governed by the Paddle Buyer Terms. Subscriptions renew automatically for the interval selected until cancelled. Seat and client-tier charges apply from the end of any free trial.

We may increase or otherwise change our published prices — including package prices, seat pricing, package structure and included features — by giving you at least 45 days' written notice before the new amount is first debited. Without limiting that right, we may increase prices in line with inflation (for example the Australian Consumer Price Index or a similar measure) once each year, at our discretion, on the same notice. If you do not accept a price change you may cancel before the new amount applies, without any cancellation notice period. Changes caused by your own usage (adding clients or seats) follow the price schedule and need no notice.

8. Payments you collect from your clients

Where you use the service to take payments from your own clients, the payment relationship is between you and your client — you are the seller and merchant of record for those transactions. You must:

  • comply with the payment processor's terms (including the Stripe Connected Account Agreement), card network and direct debit rules, and the Australian Consumer Law;
  • ensure the amounts you debit are accurate, lawful and properly authorised by your client;
  • handle refunds, disputes, chargebacks, dishonours and complaints from your clients yourself;
  • never use payment features for prohibited businesses, unauthorised transactions, or on behalf of anyone else.

Any fees, fines, penalties, chargebacks, losses or costs imposed on us or our payment partners because of your conduct or your transactions may be passed on to you, and you must reimburse them. We may suspend payment features where the processor requires it or where there is a fraud, security or compliance risk.

9. Service level

We work to keep the service available and reliable, but we do not guarantee uninterrupted or error-free operation. Maintenance, third-party outages and factors outside our control may affect availability.

10. Intellectual property

We retain all rights in the service, including the software, documentation, design and branding. Nothing in these terms transfers ownership to you.

11. Suspension and termination

We may suspend or terminate access where there is:

  • a material breach of these terms;
  • non-payment after notice;
  • a security, fraud or chargeback risk;
  • repeated or serious policy violations.

You may cancel at any time. On termination, access ends at the close of the paid period and you may export your data for 30 days, after which it may be deleted.

12. Warranties and liability

To the fullest extent permitted by law, and other than rights that cannot be excluded under the Australian Consumer Law, we disclaim implied warranties of merchantability and fitness for a particular purpose. We are not liable for indirect or consequential loss, including loss of profit, data or goodwill. Our aggregate liability is capped at the fees you paid in the 12 months before the claim. Nothing limits liability for fraud, death or personal injury where that cannot lawfully be excluded.

13. Indemnity

You indemnify us against claims, losses, fines, chargebacks, penalties and reasonable costs arising from your content, your use of the service in breach of these terms, your breach of the payment processor's rules, or the agreements and debits you put in place with your own clients.

14. General

These terms are governed by the laws of New South Wales, Australia, and the courts there have exclusive jurisdiction. You may not assign these terms without our consent; we may assign them in a merger or sale of business. Neither party is liable for delays caused by events beyond reasonable control.
